These Terms of Service (“Terms”) govern your access to and use of TSUCAVA SCORM Converter (the “Service”). By creating an account, accessing, or using the Service, you agree to these Terms.
Eligibility and accounts
- You must provide accurate account information and keep it up to date.
- You are responsible for safeguarding your login credentials and for all activity under your account. Notify us promptly if you suspect unauthorized access.
- We may require email verification before you can generate packages or access certain features.
Your content
You retain ownership of the files you upload and the SCORM packages generated from them (“Your Content”). You grant us a limited, non-exclusive, worldwide license to host, store, process, and transmit Your Content solely to provide the Service (including generating SCORM packages and enabling downloads) and to maintain, secure, and improve the Service.
You represent and warrant that you have all rights necessary to upload and use Your Content with the Service, and that Your Content does not violate any law, third-party rights, or these Terms.
Acceptable use
You agree not to use the Service to:
- Upload content you do not have the right to use or distribute.
- Upload unlawful, harmful, or abusive content, including malware or content designed to disrupt systems.
- Attempt to bypass plan limits, security controls, or access data that is not yours.
- Interfere with or degrade Service performance (for example, automated scraping or abusive traffic).
We may suspend or terminate accounts that violate these Terms, that present security risks, or that would expose us to legal liability.
SCORM output and LMS compatibility
The Service generates SCORM packages intended to work across many LMS platforms. However, LMS implementations and browser policies vary. We do not guarantee that SCORM packages will work in every LMS environment or that a particular LMS will record progress exactly as you expect. You are responsible for testing your packages in your target LMS.
Retention, storage, and deletion
The Service retains uploaded files (for example, MP4, PDF, or PPTX) and generated SCORM ZIPs only for a limited retention window (typically 12 hours for Free accounts, 48 hours for Pro accounts, and 5 days for Studio accounts) and then deletes them. You are responsible for downloading your generated packages within the retention window.
We may delete files sooner if required for security, abuse prevention, legal compliance, or operational reasons. Job metadata may be retained longer to operate the Service and maintain audit/security logs.
Plans, billing, and refunds
Paid plans are billed through Stripe on a recurring basis unless you cancel. Your subscription renews automatically at the end of each billing period unless canceled prior to renewal.
- Cancellation: you can cancel at any time. Unless otherwise stated, access remains through the end of the current billing period.
- Taxes: prices may exclude applicable taxes, which may be added at checkout where required.
- Refunds: except where required by law, fees are non-refundable. If you believe a charge is incorrect, contact us promptly.
Third-party services
The Service may integrate with or reference third-party services (for example, Stripe for payments or your LMS for playback). We are not responsible for third-party services, their policies, or their availability.
Disclaimer of warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TSUCAVA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO TSUCAVA FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
Indemnification
You agree to defend, indemnify, and hold harmless TSUCAVA from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) Your Content, (b) your use of the Service, or (c) your violation of these Terms.
Changes to the Service or Terms
We may modify the Service or these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by posting an updated date or in-app notice). Continued use of the Service after changes become effective means you accept the updated Terms.
